These terms are an agreement between you and Lucidlane (“we”, “us”), operated by Moonrope OÜ. They apply to the Lucidlane console, the client portals it hosts or embeds, the API, the MCP server and this website (together, the “Service”). If you accept them for a company, you confirm you can bind that company, and “you” means the company.
1. Who’s who
- Customer - the team or business that opens a Lucidlane account and connects its Linear workspace.
- Team members - people the Customer invites to the console.
- Portal users - the Customer’s own clients, who sign in to a portal to see their requests and send new ones.
The Customer is responsible for its team members and for who it lets into its portals. Portal users use a portal under the Customer’s arrangement with them; questions about their requests go to the Customer first.
2. Your account
Lucidlane is for business use: by signing up you confirm you’re using it for your trade, business or profession, not as a consumer. You must be at least 16 and give us accurate details. Keep your sign-in methods secure and tell us at support@lucidlane.app if you think your account has been accessed without permission. You’re responsible for what happens under your account.
3. Linear and other connected services
Lucidlane works by connecting to your Linear workspace, and optionally to services such as Slack, Microsoft Teams, Discord or Google. Those services are run by other companies under their own terms. When you connect one, you authorise us to read and write the data the Service needs from it - for Linear, your customers and customer requests, issues, comments, statuses and labels. Linear remains your system of record. We are not responsible for outages or changes in services we don’t run, and Lucidlane is not affiliated with or endorsed by Linear.
By connecting a Linear workspace, you confirm that you are authorised to connect it to Lucidlane, and you remain responsible for following Linear’s own terms, including having a Linear plan that covers the people who work in it. Lucidlane is installed as an app in your workspace with its own identity, never with a team member’s personal login. Anything it writes on someone’s behalf is labelled with their name “(via Lucidlane)”, and anything written by AI features is marked as automated. You can disconnect Linear at any time; we then revoke our access and stop syncing. Linear data we already synced stays with your account until it closes, or until you ask us to delete it sooner, as described in the Privacy Policy. If Linear limits or ends our access, features that depend on it may stop working.
4. Your content
You own the content you and your portal users put into the Service or that it syncs from Linear - requests, comments, attachments, logos and the like (“Customer Content”). You give us permission to host, copy, process and display Customer Content only as needed to run, secure and support the Service for you. We don’t sell it and we don’t use it to train AI models.
You’re responsible for having the right to share Customer Content with us and for configuring portals so each client sees only what they should. How we handle personal data is described in our Privacy Policy.
5. Personal data we process for you
For personal data in Customer Content, you are the controller and we are your processor. This section is our data processing agreement with you under Article 28 of the GDPR and similar laws. We will:
- process it only to provide the Service, following these terms and the settings you choose, unless the law requires otherwise, in which case we’ll tell you unless the law forbids it;
- make sure everyone who can access it is bound to keep it confidential;
- protect it with the security measures described in the Privacy Policy;
- use only the sub-processors listed in the Privacy Policy, under terms that protect the data at least as well as these, and tell you before adding or replacing one so you can object;
- help you respond to requests from the people the data is about, and with security, breach notifications and data protection impact assessments;
- tell you without undue delay if we become aware of a breach affecting it;
- delete it when the account closes, after the export window in section 11, unless the law requires us to keep it;
- give you the information you reasonably need to show compliance, and allow reasonable audits on notice.
6. AI features
Some features, including the AI assistant add-on, use third-party language models to draft replies, write up and tag requests, and answer questions. Anything they write is marked as automated, so portal users and your team know it didn’t come from a person. Output can be wrong or incomplete; review it before relying on it. The content needed for each task is sent to the model provider to produce the result and is not used by us for training.
7. Acceptable use
Don’t use the Service to:
- break the law or infringe anyone’s rights, including privacy and intellectual property;
- send spam or malware, or upload content that is unlawful, abusive or deceptive;
- access accounts, portals or data you aren’t authorised to see, or probe, scan or test the Service’s security without our written permission;
- overload or disrupt the Service, or get around rate limits or usage limits;
- break the terms of Linear or any other service you connect;
- copy, resell or reverse engineer the Service, except where the law allows it.
We may suspend access that puts the Service, other customers or the public at risk. Where reasonable, we’ll tell you first and give you a chance to fix it.
8. Plans, billing and cancellation
Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. The plan price covers a set number of published client portals; each published portal beyond that is charged at the per-portal rate. Draft and archived portals aren’t charged. Add-ons are charged on top of the plan for as long as they’re switched on, and some include a monthly allowance, such as a number of AI assistant conversations. Current prices are on our pricing page and exclude any applicable tax, which is added at checkout.
Adding a portal or an add-on part-way through a billing period charges only for the time left in it. Removing one takes effect from the next period. Subscriptions renew automatically until you cancel. You can cancel at any time; your plan stays active until the end of the period you’ve paid for and is not renewed. Except where the law requires otherwise, payments are non-refundable.
If a payment fails, we’ll let you know and retry. If it remains unpaid, we may restrict or suspend the account until it’s settled. We may change prices for future periods with at least 30 days’ notice.
9. Our software
We own the Service, including its software, design and branding. These terms give you a limited, non-exclusive, non-transferable right to use it during your subscription. If you send us feedback, we may use it without owing you anything.
10. Availability and changes
We work to keep the Service available and secure, but we don’t promise it will be uninterrupted or error-free. We may improve, change or remove features. If we remove something material from a paid plan, we’ll give you reasonable notice.
11. Ending the agreement
You can stop using the Service and close your account at any time. We may end or suspend your account if you seriously or repeatedly breach these terms, or with 30 days’ notice if we discontinue the Service. After your account closes, you can ask us for an export of your Customer Content within 30 days; after that we delete it as described in the Privacy Policy. Sections that by their nature should survive - such as ownership, disclaimers and limits of liability - do.
12. Disclaimers
To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability arising from the Service in any twelve months is limited to the amount you paid us for it in those twelve months. Nothing in these terms limits liability that can’t be limited by law, such as for fraud, or for death or personal injury caused by negligence.
14. Indemnity
You’ll defend and compensate us against third-party claims arising from Customer Content or from your use of the Service in breach of these terms or the law.
15. Changes to these terms
We may update these terms. If a change is material, we’ll tell you by email or in the console at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms.
16. General
These terms are governed by the laws of Estonia, and disputes are subject to the courts of Estonia, without affecting any mandatory consumer protections where you live. If any part of these terms is unenforceable, the rest still applies. Not enforcing a right isn’t a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These terms are the whole agreement between us about the Service.
